Our New York office attorneys conduct a national practice involving high-stakes litigation matters — including strategic counseling to clients considering or threatened with litigation — and sophisticated corporate transactions. On the litigation side, our primary focus is on matters involving intellectual property, white collar crime, products liability, securities, general commercial disputes, and labor and employment. On the business law side, our corporate lawyers focus on transactional work involving private equity, real estate capital markets, financial services, securities and corporate finance, technology and life sciences, and financial restructuring.

The bulk of our IP litigation work involves resolving complex patenttrademark and trade secret disputes. Our IP attorneys have extensive experience with matters in the pharmaceutical (especially with regard to the Hatch-Waxman Act), biotechnology, semiconductor, telecommunications, computer and consumer goods industries, and are well-versed in the science and technology central to the disputes in these areas. In addition to conducting high-stakes hearings, trials and appeals, we provide clients — through our strategic counseling and opinion work — a solid legal basis upon which to make sound business decisions in connection with preparing for or avoiding litigation, and protecting IP assets.

In the white collar crime area, our lawyers have an outstanding record of defending corporations and individuals involved in criminal cases and government inquiries — often resolving matters quietly, without litigation and in advance of public scrutiny. Our firmwide team includes nearly two dozen former Assistant U.S. Attorneys and former leaders at the U.S. Department of Justice and U.S. Attorneys Offices. We excel at conducting internal investigations, advising on corporate governance, structuring compliance programs and guiding our clients safely through government inquiries.

Our products liability and mass torts attorneys have acted as national and regional counsel in some of the nation’s most hard fought litigations, including defending high-profile claims involving pharmaceuticals, dietary supplements, chemical and workplace exposures, medical devices, recreational sports equipment, consumer products, asbestos and silica. We have extensive experience in MDL and complex litigation, and we ensure that our clients’ interests are optimally protected by integrating risk assessment and medical, scientific and engineering expertise with sophisticated litigation management strategies. We also have extensive contacts with experts in the academic and scientific communities.

Our general commercial and securities litigators conduct a wide array of complex corporate litigation, including “busted deal” and post-closing lawsuits and arbitrations, securities fraud and securities class action lawsuits, shareholder derivative matters, corporate governance issues and other contract and securities-related disputes. Our lawyers handle internal investigations for national and international corporations and counsel on the various aspects of compliance associated with the increasingly complex web of securities and criminal laws affecting corporations today, including Sarbanes-Oxley.

In the labor and employment law area, our practice involves counseling companies on how to avoid legal claims by employees, and representing employers when they are the target of employment-related litigation or administrative proceedings. This work includes representing employers and senior-level executives in restrictive covenant litigation involving allegations of employee raiding, theft of trade secrets and breach of non-competition and non-solicitation agreements.

On the business law side, our interdisciplinary approach, strong industry focus and formidable tax capability allow us to structure and execute a broad range of complex transactions.

Our Real Estate Capital Markets Practice conducts a broad range of complex commercial real estate transactions, with a particular focus on structuring and implementing portfolio debt and equity transactions involving REITs, institutional investors, opportunity funds and other publicly traded and privately held companies. These transactions involve significant multifamily, office, hospitality, industrial and retail properties, and our real estate lawyers have extensive experience representing the broad spectrum of entities involved such deals, including financial institutions, issuers, underwriters, joint venturers, fund sponsors, REITs, and other operating companies and investors.

The attorneys in our Private Equity Practice focus on investments, buyouts, recapitalizations, fund formations and portfolio company transactions. We help private equity firms access and deploy capital to execute a wide variety of growth and value-creations strategies. On the company side, we help emerging growth enterprises with financing transactions, IPOs, mergers and acquisitions, IP protection, dispute resolution and executive compensation. Our practice is most active in sectors involving computer hardware and software, health care and life sciences, financial services, media and communications, real estate and consumer products.

Financial restructuring, structured finance and leveraged finance are significant components of our overall corporate finance work. Our Financial Restructuring Practice represents debtors, senior and junior creditors and formal and ad-hoc committees in both out-of-court restructurings and complex chapter 11 cases, as well as bankruptcy litigation matters. Our corporate finance attorneys also focus on securitization and derivatives work involving a wide range of asset classes, as well as leveraged finance matters involving both senior and junior debt and the intercreditor relationships between them in syndicated and bilateral secured and unsecured loan facilities.

In the financial services area, our practice primarily focuses on corporate and regulatory matters involving banking and investment management. We advise a wide range of banking organizations on mergers and acquisitions, private investment funds, capital markets transactions, merchant banking, the distribution of retail products, and the creation of new bank charters and conversion of existing charters. Our investment management work involves advising clients on organization and registration of new entities, mergers and acquisitions, structuring retail advisory products and private investment funds, regulatory advice, and compliance structuring and reviews.

Our technology and life sciences practice features a firmwide team of 160 lawyers providing dedicated representation to over 500 emerging companies and entrepreneurs, 200 venture capital and private equity firms, and many of the leading investment banks in the country. We take pride in understanding our clients' businesses, and we share their entrepreneurial spirit and drive. We provide counsel in connection with venture financings, securities offerings, M&A transactions, IPOs, fund formations and other corporate matters.
